Expert Committee

Expert Committee guides the Open Source Form Project. Under its guidance, working groups of volunteers are responsible for drafting and updating forms for specific investment types and structures. Each member of the Expert Committee participate in the Open Source Form Project strictly in her/his personal capacity, and does not represent in any way the institution she/he is associated with.

Kaichen (KC) Xu is the chief drafter of the Open Source Forms.  KC is a partner with Bird & Bird, an international law firm.  His has a unique combination of experiences.  Before joining Bird & Bird, he was a Managing Director and General Counsel of Zebra Global Capital, a large PE firm.  KC was also the founder and CEO of Fadoushi, an internet legal service platform backed by VC.  Before becoming an entrepreneur, KC was a partner with DLA Piper, leading its award-winning China VC/PE practice. KC is both a thinker and practitioner of efficiency in legal service. KC obtained his J.D. degree from Yale Law School, M.A. degree (in Chemistry) from Harvard University and B.Sc. (1st Class Hon) degree from the National University of Singapore.

Bin Li is the Operation Partner and General Counsel of Northern Light Venture Capital.  Bin has over twenty years of first-hand experience in VC/PE investment, M&A, China and overseas capital markets and is familiar with all stages of investment funds’ operation – fund raising, investment, portfolio management and exit.  Before joining Northern Light, Bin practiced at two international law firms and worked at IDG Capital, where she was responsible for its legal matters and RMB fund operation for many years.  Bin obtained his LLM degree from Renmin University and graduated from Harvard Law School’s Advanced Study Program.  She is qualified to practice Chinese law.

Serena Han is a Partner and the General Counsel of GSR Ventures.  She is experienced in all stages of investment funds’ operation – fund raising, investment, portfolio management and exit.   Before joining GSR Ventures, Serena practiced at an American law firm in Silicon Valley for many years.  Serena obtained her LLB degree from Peking University and LLM degree from the Northwestern University of the United States.

Rui Gong is the Chief Operating Officer (COO) and General Counsel of ZhenFund.  Prior to joining ZhenFund, Rui was involved in setting up and leading the legal team of Sequoia Capital China.  Prior to joining Sequoia Capital, Rui practiced at Junhe Law Firm, where he worked on foreign investment, mergers and acquisitions and capital market matters.  He is qualified to practice Chinese law, and obtained his LLM degree from Columbia University and LLB degree from Peking University.

Jean Xu is the Legal Director of Qiming Venture Partners.  She is responsible for a broad range of legal matters, including financing transactions, portfolio management, exit management and fund raising and compliance matters relating to Qiming Venture’s RMB funds.  Before joining Qiming Venture in 2014, Jean practiced at O’Melveny and Myers for more than seven years.  Jean is experienced in capital market, VC/PE financing and merger and acquisition.  Jean obtained her LLM degree from Boston University School of Law and LLB degree from Tongji University Department of Law.  Jean is a registered attorney of the State of New York.

Zijun Di is the Head of Legal, China of Eight Roads, a global proprietary investment firm backed by Fidelity International.  Before joining Eight Roads, Zijun practiced at two international law firms (O’Melveny and Myers and Cooley) in their Shanghai and Silicon Valley offices for eleven years, working on investment, cross-border merger and acquisition and capital market matters.  Zijun is particularly experienced in VC/PE, worked on over 150 investment deals in China, United States, Japan, Israel and Southeast Asia.  Zijun is a registered attorney of the State of New York and is qualified to practice Chinese law.  He obtained his LLM degree from New York University and LLB degree from Shanghai University of International Business and Economics.

Xiaoyan Wang is a partner with Anjie Lawyers and has been practicing PRC Law since 2007.  Before joining Anjie Lawyers, she was the General Counsel of Source Code Capital. Before joining Source Code, Xiaoyan practiced at two PRC law firms (TransAsia Lawyers and DaHui Lawyers). Xiaoyan  is particularly experienced in fund formation, VC/PE, start-up companies.  She had worked on over 150 investment deals and supervised over 150 investment deals. Xiaoyan is adept at process and data management by technological means to improve the legal service and customer experience.  Xiaoyan graduated from Renmin University with a Master degree of Civil Law and is a lawyer admitted in the PRC.
